These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and AMZ Makers ("Company," "we," "us," or "our"), operating at amzmakers.com. By engaging our services, signing a service agreement, or accessing our website, you confirm that you have read, understood, and agreed to these Terms in full.

If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to any provision, do not use our services.

1. Scope of Services

AMZ Makers provides ecommerce management, consulting, and virtual assistant services across multiple platforms including but not limited to Amazon, Walmart, Shopify, eBay, Etsy, and TikTok Shop. The specific services delivered to each client are defined in a separate Service Agreement or Statement of Work ("SOW") executed at the time of engagement.

Services described on our website are illustrative of our capabilities. Actual deliverables, timelines, and scope are governed by the SOW agreed upon with each individual client. We reserve the right to modify our general service offerings at any time without notice, but will not alter the scope of an existing active engagement without written agreement from the client.

2. Client Responsibilities

Successful delivery of our services depends on timely cooperation from the client. You agree to:

  • Provide accurate account credentials, store access, and any documentation required for onboarding within the timeframe specified in the SOW.
  • Respond to requests for approval, information, or feedback within a reasonable timeframe, typically two business days unless otherwise agreed.
  • Ensure that all information provided to us, including product details, sourcing data, and business documentation, is accurate and up to date.
  • Maintain compliance with the terms of service of any marketplace platform on which we operate on your behalf.
  • Notify us promptly of any material changes to your business, account status, or marketplace policy violations that may affect our work.

 

Delays caused by the client's failure to provide required information or approvals may extend timelines. AMZ Makers is not liable for missed milestones resulting from client-side delays.

3. Fees and Payment

Pricing

Service fees are outlined in the SOW or pricing proposal provided to the client prior to engagement. All fees are quoted in US dollars unless otherwise specified. AMZ Makers reserves the right to adjust pricing for new or renewed service terms with reasonable notice.

Payment Schedule

Payment terms are defined in the client's SOW. Unless otherwise agreed, invoices are due within seven (7) calendar days of the invoice date. For recurring monthly services, payment is typically required in advance at the start of each billing cycle.

Late Payments

Invoices not settled within the agreed payment window may result in a temporary suspension of services. We will provide written notice before suspending any active service. Accounts outstanding for more than 30 days may incur a late fee of 1.5% per month on the unpaid balance. AMZ Makers reserves the right to terminate a service agreement for persistent non-payment after providing 14 days written notice.

Taxes

Clients are responsible for any applicable taxes, duties, or levies associated with services received. AMZ Makers will include applicable taxes on invoices where required by law.

4. Intellectual Property

All content, systems, templates, processes, and methodologies developed by AMZ Makers prior to or independent of a client engagement remain the exclusive intellectual property of AMZ Makers. This includes but is not limited to internal workflow systems, training materials, SOPs, and proprietary tools.

Work product created specifically for a client, such as listing copy, A+ content, product images, and brand assets, belongs to the client upon full payment of all outstanding invoices related to that work. Until payment is received in full, AMZ Makers retains the right to withhold delivery of completed work product.

Clients grant AMZ Makers a limited, non-exclusive license to access, operate, and modify their marketplace accounts and store assets solely for the purpose of delivering agreed services. This license is revocable upon termination of the service agreement.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary business information shared during the course of the engagement. AMZ Makers will not disclose client account data, sales figures, sourcing information, or business strategies to third parties without explicit written consent, except as required by law or to fulfill service obligations through vetted sub-contractors operating under comparable confidentiality obligations.

Clients agree not to disclose AMZ Makers's internal processes, pricing structures, or proprietary methodology to competitors or third parties without written approval.

6. Marketplace Platform Compliance

AMZ Makers operates in full accordance with the published policies of Amazon, Walmart, Shopify, eBay, Etsy, TikTok Shop, and other platforms on which we manage client stores. We do not engage in, recommend, or facilitate any practice that violates marketplace terms of service, including review manipulation, prohibited product listings, unauthorized brand use, or deceptive pricing.

Marketplace policies change frequently. While we monitor known policy updates, we cannot guarantee that all changes will be captured in real time across all platforms. AMZ Makers is not liable for account actions taken by a marketplace platform resulting from policy violations that occurred before our engagement, violations initiated by the client, or policy changes not yet incorporated into our processes.

7. Limitation of Liability

AMZ Makers's liability under these Terms is limited to the total fees paid by the client for the specific service that is the subject of the claim, calculated over the three (3) months preceding the event giving rise to the claim.

We are not liable for indirect, incidental, special, or consequential damages including but not limited to lost profits, loss of data, account suspensions, marketplace penalties, or business interruption, even if we have been advised of the possibility of such damages. Ecommerce outcomes depend on multiple factors outside our control, including platform algorithm changes, competitor activity, market conditions, and client inventory levels.

8. Termination

Either party may terminate a service agreement by providing written notice as specified in the applicable SOW. Standard notice periods are 30 days unless otherwise stated. Termination does not release the client from payment obligations for services already delivered or in progress.

AMZ Makers may terminate an agreement immediately if a client engages in conduct that violates these Terms, breaches marketplace policies in a way that exposes our operations to risk, or fails to pay outstanding invoices after written notice.

Upon termination, we will transfer all client-owned assets, credentials, and work product to the client, provided all outstanding invoices have been settled.

9. Governing Law and Disputes

These Terms are governed by the laws of the United States. Any disputes arising from or related to these Terms or a service agreement will first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted in English and the seat of arbitration will be in the United States.

10. Amendments

We may update these Terms periodically. Updated Terms will be posted on our website with a revised effective date. Continued engagement with our services following an update constitutes acceptance of the revised Terms. For active clients, material changes to service terms will be communicated in writing and will not take effect until acknowledged.
